Brahmware Proprietary License Agreement
This Proprietary License Agreement (the "Agreement") is entered into between Brahmware (hereinafter referred to as "Licensor") and the recipient of this license (hereinafter referred to as "Licensee"). This Agreement governs the use of any software or intellectual property developed by Brahmware (the "Software").
1. Grant of License
Licensor grants Licensee a non-exclusive, non-transferable license to use the Software for internal purposes only, subject to the terms and conditions of this Agreement.
2. Permitted Use
Licensee may use the Software solely for its internal business operations, subject to the restrictions outlined in this Agreement.
3. Restrictions
a) Licensee shall not distribute, sublicense, sell, lease, rent, or otherwise transfer the Software or any part thereof to any third party.
b) Licensee shall not modify, reverse engineer, decompile, disassemble, or create derivative works based on the Software.
c) Licensee shall not remove, alter, or obscure any proprietary notices, labels, or trademarks affixed to the Software.
4. Intellectual Property Rights
a) All rights, title, and interest in and to the Software, including any intellectual property rights, shall remain with the Licensor.
b) Licensee acknowledges that the Software is protected by copyright and other intellectual property laws.
5. Confidentiality
Licensee agrees to treat any confidential information received from the Licensor regarding the Software as confidential and to take reasonable measures to prevent unauthorized disclosure.
6. Warranty and Disclaimer
a) The Software is provided "as is" without warranty of any kind, whether express or implied.
b) Licensor does not warrant that the Software will be error-free or meet Licensee's specific requirements.
7. Limitation of Liability
Licensor shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of the use or inability to use the Software, even if advised of the possibility of such damages.
8. Term and Termination
This Agreement shall remain in effect until terminated. Either party may terminate this Agreement upon written notice if the other party breaches any material provision. Upon termination, Licensee shall cease using the Software and return or destroy all copies of the Software.
9. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of India.
Please carefully review this Agreement before using the Software. By using the Software, Licensee agrees to be bound by the terms and conditions of this Agreement.
