Incorporating a Nonprofit in Missouri

Barebones notes, including language necessary for subsequently applying for 501(c)3 status. Note: I'm not a lawyer (or an accountant), and this is not legal advice. These are just the steps I took when incorporating a couple organizations in 2014 and 2016.

  • Choose the initial directors for your board. There are plenty of strategies written about this online.
  • Choose a name and make sure it's not already in use.
  • Apply for your EIN online
  • Create your Articles of Incorporation. Doctor-up this example.
  • File the articles at the Secretary of State's office (815 Olive Street, Suite 150).
  • Create your Bylaws. Doctor-up this example.
  • Hold a meeting of your board. Approve the bylaws, appoint officers, and record the minutes for posterity.
  • File your annual report with the state. You'll need to do this annually or biannually.
